Terms of Service

These Terms govern your use of CPMS Agency's Service, including social account management, content scheduling, CRM, and related growth tools at cpmsagency.com and related subdomains.
1. Acceptance of Terms
By accessing or using CPMS Agency's websites, applications, dashboards, APIs, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
2. Description of the Service
CPMS Agency provides marketing and growth operations tools that may include, without limitation:
- Client and brand account management
- Connecting and managing social media accounts (for example Instagram, Facebook, X, LinkedIn, and TikTok)
- Drafting, scheduling, publishing, and reviewing social and marketing content
- Content calendars, queues, drafts, and engagement views
- Outbound lead discovery, CRM, outreach, analytics, creative, SEO, web, ads, and related agency desks
- Email and SMS messaging (including via providers such as Twilio)
- Integrations, automations, and AI-assisted drafting or analysis where enabled
SMS and text messaging are also subject to our SMS Terms & Messaging Disclosure. Privacy practices are described in our Privacy Policy.
Features may change, expand, or be limited based on your plan, permissions, third-party platform availability, and configuration. We may update the Service from time to time.
3. User Accounts & Responsibilities
You are responsible for:
- Maintaining the confidentiality of login credentials, access codes, and API keys
- All activity that occurs under your account or workspaces you control
- Content you create, upload, schedule, or publish through the Service, including captions, media, ads, emails, and messages
- Ensuring you have the legal right and platform permission to connect social accounts and post on behalf of any brand or client
- Complying with applicable laws and these Terms
Notify us promptly at admin@cpmsagency.com if you suspect unauthorized access to your account.
4. Content Ownership
Your content. Clients and users retain ownership of their content, creative assets, brand materials, lead data they provide, and materials they upload or generate for their own use. We provide tools to manage, schedule, and deliver that content; we do not claim ownership of your client content solely because it passes through the Service.
License to operate the Service. You grant CPMS Agency a limited, worldwide, non-exclusive license to host, process, transmit, display, and otherwise use your content only as needed to provide and improve the Service (for example, storing scheduled posts, rendering calendars, or publishing via connected platform APIs).
Our platform. The Service software, design, branding, documentation, and underlying technology remain the property of CPMS Agency and its licensors.
5. Prohibited Uses
You may not use the Service to:
- Send spam, unsolicited bulk messages, or deceptive communications
- Post or distribute illegal, infringing, defamatory, or fraudulent content
- Harass, threaten, abuse, or harm others
- Violate intellectual property, privacy, publicity, or consumer-protection laws
- Circumvent security, access controls, rate limits, or authentication
- Scrape, reverse engineer, or disrupt the Service except as allowed by law
- Impersonate others or misrepresent affiliation with a person or brand
- Use connected social accounts in violation of those platforms' rules
We may investigate and take action, including removing content or suspending access.
6. Third-Party Platforms
The Service may integrate with third-party platforms such as Instagram, Facebook, TikTok, X (Twitter), LinkedIn, Google, email providers, and others. Those platforms are independent of CPMS Agency.
- You must comply with each platform's terms, policies, API rules, and community guidelines.
- We are not responsible for third-party outages, API changes, permission revocations, account restrictions, content takedowns, algorithm changes, or policy updates by Instagram, Facebook, TikTok, or any other platform.
- Connecting an account authorizes us to act on your behalf within the scopes you grant (for example, reading profile info or publishing posts you schedule).
- Features that depend on third-party APIs may be limited or unavailable if a platform changes or revokes access.
7. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPMS AGENCY AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR FAILED OR DELAYED POSTS, THIRD-PARTY PLATFORM ACTIONS, AI OUTPUT INACCURACIES, OR OUTCOMES OF YOUR MARKETING OR OUTREACH CAMPAIGNS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO CPMS AGENCY FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID FEES.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
8. Termination
You may stop using the Service at any time. We may suspend, restrict, or terminate access to the Service (in whole or in part) if you violate these Terms, if required by law, if your use creates risk or legal exposure, or for operational or security reasons.
Upon termination, your right to use the Service ends. We may delete or retain data as required for legal, security, backup, or legitimate business purposes, subject to applicable law. Sections that by nature should survive (including ownership, prohibited uses, third-party platforms, limitation of liability, and governing law) will survive termination.
9. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Except where prohibited, you agree that courts located in Florida will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
10. SMS and Electronic Communications
By using messaging features, you agree to our SMS Terms. You are responsible for obtaining consent before messaging third parties and for complying with TCPA, carrier, and Twilio rules. We do not sell phone numbers or SMS opt-in data. Reply STOP to opt out of program messages where supported.

12. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page will change when we do. Continued use of the Service after updates become effective constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
